What is a transaction class action?

When a publicly traded corporation is the target of a proposed acquisition, merger, leveraged buyout, privatization, or similar transaction that is substantively or procedurally unfair, its shareholders may bring a class action lawsuit to ensure that the transaction is conducted fairly and in the shareholders’ best interests.  Transaction class actions typically seek to protect shareholders’ rights to receive full and fair disclosure of material information before voting on the proposed transaction and, where appropriate, to improve the value of the consideration offered in the deal.

What are my responsibilities as a class representative in a transaction class action?

A class representative volunteers to represent other similarly situated shareholders of the corporation and agrees to act in the best interests of the class.  A class representative stays informed about significant developments in the case and works with class counsel to make important strategic decisions regarding the conduct and disposition of the litigation. 

Can I sell my stock while acting as a class representative in a transaction class action?

A class representative in a transaction class action generally should continue to hold shares of the corporation during the litigation.  There are exceptions.  Please contact us for additional information or to discuss your particular circumstances. 

Does it cost anything to participate in a transaction class action?
